FABRICO BSI – SUBSCRIPTION AGREEMENT

BETWEEN:

Fabrico BSI (The "Provider");

and

The Company named during the registration/checkout process (The "Subscriber").

1. The Service & License

1.1 The Provider grants the Subscriber a non-exclusive, non-transferable, revocable license to access the Fabrico BSI construction intelligence database (the "Service") solely for bona fide business development purposes.

1.2 Access is restricted to the Subscriber and direct employees of the Subscriber. Login credentials must not be shared outside the Subscriber’s organisation.

2. Data Protection & Prohibited Use

2.1 Database Integrity: The Subscriber acknowledges that the data, compilation, and structure of the Fabrico CSI database are the valuable proprietary property of the Provider.

2.2 No Copying or Extraction: The Subscriber strictly agrees that they will not copy, download, scrape, export, or transfer any data shared with them via the Service into another database, CRM, spreadsheet, or permanent record, except for the necessary information to follow up enquiries as part of normal, day-to-day sales workflows.

2.3 No Commercial Redistribution: Data obtained from the Service must not be sold, rented, sub-licensed, or redistributed to any third party or sister company.

2.4 Liquidated Damages: Any breach of this Clause 2 will result in the immediate termination of the subscription without refund, and the Provider reserves the right to seek damages for intellectual property theft.

3. Subscription Fees & Term

3.1 The Service is provided on a monthly/annual recurring subscription basis as selected at checkout.

3.2 Fees are payable in advance via the credit/debit card on file.

3.3 The subscription will automatically renew at the end of each billing cycle unless cancelled by the Subscriber via their account dashboard at least 48 hours prior to the renewal date.

4. Data Freshness & Disclaimer

4.1 The Provider uses all reasonable endeavours to ensure that the construction project information, contractor details, and decision-maker contact info are accurate and up-to-date. However;

4.2 the Subscriber acknowledges that the construction industry changes rapidly. The Service is provided on an "as is" and "as available" basis. The Provider does not guarantee that every lead will result in commercial success or that all details are 100% accurate.

5. Data Privacy & GDPR Compliance

5.1 Both parties agree to comply with their respective obligations under the UK GDPR and Data Protection Act 2018. The Subscriber becomes the data controller for any records they create from using the Service.

5.2 The Subscriber agrees to use the contact details of decision makers obtained from the Service solely for legitimate, professional B2B marketing and business development communications ("Legitimate Interests").

6. Termination

6.1 Either party may terminate this agreement at any time by non-renewal of the subscription or withdrawal of access.

6.2 Upon termination or cancellation, the Subscriber's access to the database will cease immediately at the end of the paid period, and the restrictions regarding data usage in Clause 2 will survive indefinitely.

7. Governing Law

7.1 This Agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of England and Wales.

8. Updates to Terms & Conditions

8.1 It will be necessary to update these Terms and Conditions from time to time, and we recommend you revisit this page before renewing your Subscription.
